Terms of Service

1. Agreement

These Terms of Service ("Terms") are a legal agreement between you and Kryphion Systems, LLC, a Florida limited liability company ("Kryphion," "we," "us," or "our"), which owns and operates the Spectivon platform ("Service"). By accessing or using the Service, you agree to be bound by these Terms.

2. Service Description

Spectivon is an AI-powered environmental due diligence platform designed to assist professionals in reviewing documents related to renewable energy transactions. The Service connects to Microsoft SharePoint data rooms via delegated OAuth, processes document content, and surfaces AI-generated risk findings with citations to source documents and page numbers.

3. Decision-Support Tool — Not a Substitute for Professional Judgment

AI-generated findings are produced by large language models and are subject to error, omission, and misinterpretation. All findings require review and validation by a qualified professional before any reliance for investment, legal, regulatory, or transactional purposes. The platform:

• does not provide legal advice
• does not provide environmental consulting services
• does not replace a Phase I or Phase II Environmental Site Assessment conducted by a licensed environmental professional
• may not identify all material environmental risks in a given set of documents
• may produce findings that are inaccurate, incomplete, or misleading without human review

By using the Service, you acknowledge these limitations and agree that you are responsible for any decisions made based on platform output.

4. Access and Accounts

Access to the Service is by invitation only. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must promptly notify us at hello@spectivon.com if you suspect unauthorized access.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation
• Attempt to reverse engineer, decompile, or otherwise extract the source code or AI models underlying the Service
• Use the Service to process documents you are not authorized to access
• Interfere with or disrupt the integrity or performance of the Service
• Share your account credentials with any third party
• Use the Service to train, fine-tune, or benchmark competing AI models

6. Intellectual Property

All software, design, trademarks, and AI models underlying the Service are owned by Kryphion Systems, LLC. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes during the term of any applicable subscription or access agreement.

You retain ownership of the documents you connect to the Service via SharePoint. You retain ownership of any findings or reports you export from the platform.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KRYPHION SYSTEMS, LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO KRYPHION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability, so the above may not apply to you in full.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT AI-GENERATED FINDINGS WILL BE ACCURATE OR COMPLETE.

9. Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.

10. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Florida, and you consent to exclusive jurisdiction and venue therein.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by updating the effective date above and, where appropriate, by direct notice to active users. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
